1. Definitionen
- “Produkte” — goods, parts, components, or Baugruppen manufactured or supplied by us.
- “Dienstleistungen” — CNC-Bearbeitung, Blech fabrication, Oberflächenbehandlung, assembly, design, prototyping.
- “Bestellung” — a purchase order or written instruction accepted by us.
- “Spezifikationen” — drawings, CAD files, Toleranzen, material grades, finish requirements provided by you.
2. Bestellungen & Annahme
- Quotations are valid for 30 calendar days from issue date.
- An order is binding only upon our written confirmation (email or proforma invoice).
- You are responsible for the accuracy of all specifications. We are not liable for errors in customer-supplied drawings or CAD files.
- Changes to specifications after order acceptance may result in price and lead time adjustments.
- Minimum Order Quantity (MOQ) varies by product, communicated at quotation stage.
3. Preisgestaltung & Zahlung
- Prices are in USD unless otherwise stated.
- Payment terms: typically 50% deposit with order, 50% before shipment (varies by order size and customer history).
- All prices exclude taxes, duties, and shipping unless explicitly included.
4. Lieferung & Versand
- Lead times are estimates, not guarantees. We will notify you of delays promptly.
- Shipping terms follow Incoterms 2020 as stated in the quotation (typically FOB or EXW).
- Risk of loss passes to you per the agreed Incoterms.
- We are not liable for carrier delays, customs clearance, or force majeure events.
5. Qualität & Inspektion
- All products undergo dimensional and Visuelle Prüfung before shipment.
- A QC report with photos is provided before shipping upon request.
- You must inspect products within 7 business days of receipt. Claims after this period may not be accepted.
- Our liability is limited to the replacement of defective products or a refund of the purchase price, at our option.
6. Geistiges Eigentum
- All specifications, drawings, and CAD files you provide remain your property.
- We will not share, reproduce, or use your IP for any purpose other than fulfilling your order.
7. Garantie
- Products are warranted to conform to agreed specifications at the time of delivery.
- No other warranties, express or implied, are made.
8. Anwendbares Recht
These terms are governed by the laws of the People’s Republic of China. Any disputes shall be resolved through negotiation first, and failing that, through arbitration in Dongguan.
